Which Industries Are Restricted Under Thailand's Foreign Business Act?

Registering a company in Thailand does not automatically allow a foreign business to engage in every type of commercial activity. Under Thailand's Foreign Business Act B.E. 2542 (1999) ("FBA"), certain business activities are restricted for foreign-owned companies.

The FBA classifies restricted businesses into List 1, List 2, and List 3, with each category subject to different levels of foreign ownership and approval requirements.

For foreign investors planning to establish a company in Thailand, it is advisable to review whether the intended business activities fall within these restricted categories before determining the company's shareholding structure and business scope.

List 1: Businesses Strictly Prohibited to Foreign Companies

List 1 contains businesses that are strictly prohibited for foreign companies. These include:

  • Newspaper publishing, radio broadcasting, and television broadcasting

  • Rice farming, crop cultivation, and agriculture

  • Livestock farming

  • Forestry and processing of timber from natural forests

  • Fishing in Thai territorial waters and Thailand's Exclusive Economic Zone (EEZ)

  • Extraction of Thai medicinal herbs

  • Trading or auctioning Thai antiques or objects of historical value

  • Manufacturing or casting Buddha images and monks' alms bowls

  • Land trading

As a result, foreign companies cannot obtain permission through a standard Foreign Business License (FBL) to operate businesses under List 1, particularly those involving agriculture, natural forestry, certain fisheries, land trading, and other prohibited sectors

List 2: Businesses Related to National Security, Culture, and Natural Resources

List 2 covers businesses that are considered sensitive to Thailand's national interests and is divided into three categories:

1. Businesses Related to National Security

These include certain businesses involving:

  • Firearms, ammunition, and explosives

  • Military equipment

  • Domestic transportation by land, water, and air

2. Businesses Related to Thai Arts, Culture, Traditions, and Handicrafts

These include certain activities involving:

  • Traditional Thai artworks

  • Wood carving

  • Thai silk

  • Traditional musical instruments

  • Gold and silverware

  • Traditional Thai pottery

3. Businesses Related to Natural Resources and the Environment

These include:

  • Sugar production from sugarcane

  • Salt manufacturing

  • Mining

  • Quarrying

  • Certain timber processing activities

Unlike List 1, businesses under List 2 are not entirely prohibited for foreign investors. However, they are subject to stricter foreign ownership restrictions and government approval requirements. Foreign companies intending to operate in these sectors must carefully review the applicable shareholding structure and approval procedures under the Foreign Business Act.

List 3: The Most Commonly Restricted Businesses for Foreign Companies

因此,外国企业不能仅凭公司名称或登记的经营范围判断是否受 FBA 限制,实际开展的业务内容才是判断重点

Being Listed Under List 3 Does Not Mean Foreign Companies Cannot Operate the Business

Businesses under List 3 are restricted, but they are not completely prohibited.

Foreign companies wishing to engage in List 3 activities must determine whether they qualify for any exemptions under the Foreign Business Act (FBA) or obtain the required approvals before commencing operations.

For example:

Retail Business

Retail businesses are generally restricted under List 3, Item 14. However, exemptions are available if the business meets the statutory capital requirements.

According to guidance issued by BOI/OSOS, a foreign company with registered capital of at least THB 100 million may operate a retail business without obtaining a Foreign Business License (FBL), subject to the applicable conditions. This capital requirement covers up to five retail outlets, with an additional THB 20 million in registered capital required for each additional outlet.

Wholesale Business

Wholesale businesses fall under List 3, Item 15. An exemption may apply if the business satisfies the statutory minimum capital requirement of THB 100 million for each business location.

Construction Business

Construction services are generally classified as restricted businesses. However, exemptions are available for certain construction projects involving public infrastructure, telecommunications, or other activities that satisfy the legal conditions, including the applicable minimum capital requirements.

Hotel Business

The FBA restricts Hotel Operation, but expressly excludes Hotel Management from the restricted category.

Food and Beverage Business

The Sale of Food and Beverages is classified under List 3, Item 19.

Therefore, determining whether a foreign company may enter a particular industry involves more than simply checking whether the business appears on List 3. It is also necessary to determine whether a statutory exemption applies and whether the company satisfies the relevant legal requirements.

How Can Foreign Companies Legally Enter Restricted Industries?

If a proposed business falls within List 3 and does not qualify for a statutory exemption, this does not necessarily mean the investment cannot proceed.

Depending on the specific circumstances, foreign investors may consider the following legal pathways:

Foreign Business License (FBL)

A foreign company engaging in a restricted business may apply for a Foreign Business License (FBL) in accordance with the Foreign Business Act.

Foreign Business Certificate (FBC)

Foreign companies that receive BOI investment promotion, where the promoted activities fall within the scope of the FBA, may apply for a Foreign Business Certificate (FBC) under the applicable regulations.

Statutory Exemptions Under the FBA

Certain businesses may qualify for exemptions under the FBA, such as:

  • Retail businesses meeting the prescribed capital requirements

  • Wholesale businesses meeting the prescribed capital requirements

  • Certain construction projects

  • Certain agency or representative businesses

  • Other activities specifically exempted under the law

For foreign investors, the key question is not simply:

"Can foreigners operate this industry?"

Instead, the more important questions are:

"Which category of the Foreign Business Act applies to this business?"
"Is there a statutory exemption available?"
"If the business is restricted, what legal approval or qualification is required to operate it lawfully?"

These are the critical issues that should be assessed before establishing a business or commencing operations in Thailand.
